Shih Wei is a corporate and commercial lawyer by training and has experience in advising companies on matters relating to their proposed listings on Bursa Malaysia Securities Berhad, issuance of private debt securities, continuing listing obligations, merger and acquisition exercises, general compliance work as well as on other corporate and commercial matters. Shih Wei also drafts, reviews and negotiates corporate and commercial contracts.

Involvement in Major Corporate Transactions or Matters

  • Acted for and advised a Main Market listed company in respect of its proposed issuance of Irredeemable Convertible Unsecured Loan Stocks to settle outstanding credit facilities that were taken by the company from a commercial bank.
  • Acted for and advised a China based group of companies on the proposed flotation of their special purpose vehicle holding company on the ACE Market of Bursa Malaysia Securities Berhad. The company is the first and only PRC company to list on the sponsor investment bank driven ACE Market of Bursa Malaysia Securities Berhad.
  • Acted for and advised a Main Market listed company in its joint equity and private debt security offering of RM252 million to its shareholders.
  • Acted as Malaysian counsel to New York Stock Exchange listed companies in respect of Malaysian jurisdictional issues in connection with their restructuring / M&A exercise in Malaysia.
  • Acted as the vendors’ solicitors in the sale of a group of companies to a private equity firm for a total purchase consideration of approximately USD65 million.
  • Advised the vendors in a sale of a group of companies to a Main Market listed company for RM400 million.
  • Acted for a commercial bank in advising and preparing the loan documentation in respect of a bridging loan facility of RM53 million to a company which was used to part finance its acquisition of another company.
  • Acted for a commercial bank in advising and preparing the loan documentation in respect of a term loan facility of RM139.4 million to a company which was used to part finance its commitment to subscribe for the full amount of the Redeemable Convertible Secured Loan Stocks issued by a Main Market listed company in the event of under-subscription by the remaining shareholders of the listed company.
